Wilson Sonsini Advises Box on $460 Million Convertible Senior Notes Offering
On September 20, 2024, Box, Inc., a leading intelligent content cloud, completed an offering of $460 million aggregate principal amount of 1.5% convertible senior notes due 2029 in a private placement. The offering amount included the exercise in full of the option that Box had granted to the initial purchasers to purchase up to an additional $60 million of notes. In connection with the offering, Box entered into privately negotiated capped call transactions with certain of the initial purchasers or their respective affiliates and other financial institutions. Wilson Sonsini Goodrich & Rosati advised Box on the transaction.

Commerce Proposes New Reporting Requirement for Advanced AI Developers and Cloud Computing Providers
Last week, the U.S. Department of Commerce’s (Commerce) Bureau of Industry and Security (BIS) released a Notice of Proposed Rulemaking (NPRM) outlining a new mandatory reporting requirement for large-scale AI developers and cloud computing providers that provide compute to AI model developers. The NPRM stems from requirements issued under the Biden Administration’s October 2023 Executive Order on “Safe, Secure, and Trustworthy Development and Use of Artificial Intelligence” (Biden’s EO, discussed here), which directed Commerce to collect certain information on dual-use foundation models and large-scale computing clusters. Commerce has already collected initial responses to a similar mandatory survey issued pursuant to Biden’s EO from major AI developers and compute providers; this new NPRM will systematize that data collection process.

Wilson Sonsini Secures Complete Victory for Scale Computing in Patent Infringement Trial
On August 22, 2024, Wilson Sonsini Goodrich & Rosati secured a complete jury victory in a patent infringement trial in the U.S. District Court for the District of Delaware on behalf of firm client Scale Computing, Inc. Following a four-day trial, the jury unanimously found that Scale Computing’s accused products, including the Scale Computing Platform and its Scale Computing Reliable Independent Block Engine (SCRIBE), did not directly or indirectly infringe DataCore Software Corp.’s data storage patent (U.S. Patent No. 9,344,235). The jury also found all of DataCore’s asserted claims invalid as anticipated by the prior art.

On July 23, 2024, Clio, a global leader in legal technology, announced the completion of a US $900 million Series F investment round led by New Enterprise Associates. The round also includes new partners Goldman Sachs Asset Management, Sixth Street Growth, CapitalG, and Tidemark, who join current investors TCV, JMI Equity, funds and accounts advised by T. On July 9, 2024, Baiwang Co., Ltd. (Baiwang Cloud) successfully listed on the Main Board of the Stock Exchange of Hong Kong (SEHK), raising gross proceeds of approximately HK$333.4 million (US$42.7 million) from its IPO (or approximately HK$383.4 million (US$49.1 million) if the underwriters exercise the over-allotment option in full), with market capitalization of over US$1.0 billion.
