Karli Upfill-Brown is an associate in the Century City office of Wilson Sonsini Goodrich & Rosati, where she is a member of the firm’s energy and climate solutions practice. Her practice focuses on advising clients across the climate technology space, including solar, wind, energy storage, energy efficiency, grid services, electric vehicle charging, carbon capture and storage, decarbonization processes, water efficiency, and recycling. She has also worked on key commercial contracts for the development of data centers in the United States.
She counsels developers and investors on project development and project finance of renewable energy and energy storage projects in the utility-scale, commercial and industrial, and residential sectors, including negotiating power purchase agreements (virtual and physical), engineering, procurement and construction contracts, service agreements, and debt and tax equity financing agreements. Karli’s practice also includes joint ventures, growth equity financings, portfolio acquisitions, as well as venture financings and general corporate matters for startup clients in the space.
Prior to joining the firm, Karli was an associate at Milbank LLP in Los Angeles, where she represented lenders and tax equity investors in project finance transactions in the renewable energy space. She now uses her experience to advise her developer clients on the financeability of key project documents, and on the application of the project finance model to technologies beyond traditional renewable energy.
