On October 3, 2019, RingCentral, a leading provider of global enterprise cloud communications, collaboration, and contact center solutions, announced that it will enter into a strategic partnership with Avaya, a global leader in solutions to enhance and simplify communications and collaboration, making RingCentral the exclusive provider of Unified Communications as a Service (UCaaS) solutions to Avaya. With the strategic partnership, RingCentral and Avaya will introduce “Avaya Cloud Office by RingCentral." The deal provides RingCentral access to Avaya's more than 100 million installed base and 4,700 channel partners. Wilson Sonsini Goodrich & Rosati is representing RingCentral in connection with the transaction.
As part of the strategic partnership, the two companies will contribute resources to the development and sales and marketing of “Avaya Cloud Office by RingCentral," with RingCentral planning to pay Avaya a $375 million advance, predominantly for future commissions, as well as certain licensing rights, which will be paid primarily in stock. Further, RingCentral will purchase $125 million aggregate principal amount of convertible and redeemable preferred stock of Avaya, which represents an approximate 6 percent stake in Avaya, on an as-converted basis.
