On December 13, 2020, Pluralsight, Inc., a technology workforce development company, announced that it has entered into a definitive agreement to be acquired by Vista Equity Partners in an all-cash transaction valued at approximately $3.5 billion. Wilson Sonsini is advising Pluralsight on the transaction.
Under the terms of the agreement, Vista Equity Partners, a global investment firm focused on enterprise software, in its partnership with its institutional co-investors, will acquire all outstanding shares of Pluralsight common stock for $20.26 per share. The agreement was unanimously approved and recommended by an independent Transaction Committee and then unanimously approved by the Pluralsight board of directors. The transaction is expected to close in the first half of 2021, subject to customary closing conditions.
This transaction is the continuation of a deep relationship between Pluralsight and Wilson Sonsini that stretches over many years. In that time, Wilson Sonsini has assisted Pluralsight with its initial public offering, multiple follow-on offerings, a convertible debt issuance, and numerous acquisitions.
