On March 31, 2020, Palo Alto Networks, a global leader in cybersecurity, announced that it has entered into a definitive agreement to acquire CloudGenix, a provider of cloud-delivered SD-WAN. Wilson Sonsini Goodrich & Rosati advised CloudGenix in the agreement.
Under the terms of the agreement, Palo Alto Networks will pay approximately $420 million to acquire CloudGenix, subject to adjustments. The acquisition will allow Palo Alto Networks to integrate CloudGenix’s cloud-managed SD-WAN products, which will accelerate the intelligent onboarding of remote branches and retail stores into Prisma™ Access, Palo Alto Networks’ cloud-based firewall and the industry’s most comprehensive “secure access service edge” (SASE) platform. According to Nikesh Arora, the chairman and CEO of Palo Alto Networks, “the combined platform will provide customers with a complete SASE offering that is best-in-class, easy to deploy, cloud-managed, and delivered as a service.”
