The UK government recently enacted the National Security and Investments Act, which is intended to give the government wide ranging powers to investigate deals on the grounds of national security. It will also bring into play a mandatory notification regime for transactions within 17 specified key sectors, which includes several tech verticals as well as synthetic biology within life sciences. The US has also had a similar regime, which is aimed at scrutinizing acquisitions of US businesses by non-US acquirors, and there are several parallels within the two regimes and learnings that the UK can take from practice that has evolved within the US. The new regime will represent a paradigm shift in how deals are done when it comes into force.
