Zhan Chen is a partner in the China practice at Wilson Sonsini Goodrich & Rosati, and a principal at Chen & Associates, a firm of solicitors in Hong Kong in association with Wilson Sonsini Goodrich & Rosati, Professional Corporation, Hong Kong. Her practice focuses on mergers and acquisitions and private equity. She has extensive experience with private equity investments, public company mergers and acquisitions, private company acquisitions, going-private transactions, private investment in public equity (PIPE) transactions, and foreign direct investments in China. In addition, she represents companies in connection with debt and equity securities offerings and advises clients on general corporate and governance matters. Her clients have included prominent private equity firms and sovereign wealth funds, as well as companies in such industries as online entertainment, healthcare, semiconductors, financial institutions, and energy and clean technology.
Prior to joining the firm, Zhan was a counsel at Davis Polk & Wardwell, where she practiced for 10 years in New York and Hong Kong. She is a native Mandarin speaker and fluent in English.

- Represented Shanda Interactive Entertainment Limited on its going-private transaction
- Represented the Shanda group of companies in connection with numerous transactions, including the acquisition of a majority stake of Nasdaq-listed company Hurray!, the acquisition of Chinese online video company Ku6 Media, the acquisition of Korean video games developer Eyedentity, and a convertible notes offering
- Represented China Investment Corporation in connection with numerous transactions, including its co-investment with CITIC Capital in China Lumena New Materials Corp., its co-investment with TPG and GIC in Indonesian company PTDelta Dunia Makmur Tbk, and its investment in BlackRock
- Represented Charles River Laboratories International in its proposed takeover of Wuxi PharmaTech
- Represented Advanced Semiconductor Engineering in its privatization of ASE Test
- Represented Linktone in the tender offer and additional equity investment by PT Media Nusantara Citra
- Represented Tianwei New Energy in its acquisition of a majority stake in Hoku
- Represented ORIX in its acquisition of a minority stake in a China-based company
- Represented IDG Capital Partners on its investments in several companies based in China and Singapore
- Represented Warburg Pincus in its acquisition of a majority stake in Datong Insurance, a subsidiary of CNinsure
- Represented CITIC PE, Carlyle, CICC, and Unitas in various private equity investments
- Represented various China-based companies in private equity financings by CDH, Baring Asia, and Bank of America
- Advised on Lonking Holdings Limited's high-yield bond offering
